Terms of service
These terms cover your use of www.auttendo.com and of Auttendo itself: the workspace where your team, the agent and your company memory do the work together. The service is provided by Auttendo B.V., Nijverheidstraat 11b, 7511 JM Enschede, the Netherlands, Chamber of Commerce 89123456. By using the service you agree to these terms.
1. What we mean by
- Customer: the company that takes out Auttendo.
- User: anyone working in the workspace on the customer’s behalf.
- Workspace: the customer’s environment in Auttendo, with all its projects.
- Instruction: what you ask the agent to do.
- Agent: the part that carries out an instruction, in the tools you have connected.
- Connection: the link to a third-party tool, such as your mail, your calendar or your bookkeeping.
- Company memory: what you record as knowledge worth building on.
- Credit: the unit we measure the agent’s work in.
- Customer data: everything the customer puts in the workspace or has fetched through a connection.
2. Who you are contracting with
Auttendo is a business service. You enter into the contract on behalf of a company, you are eighteen or over, and you are authorised to bind that company.
The customer is responsible for what happens under its account: who gets access, what those people do, and whether the data is correct. Switch on two-factor authentication and tell us straight away if you think someone has access who should not.
3. What the service is
Auttendo gives you a workspace where you:
- create projects that hold the work and its context together;
- write instructions and connect the tools the agent may use;
- have the agent carry that work out, with approval at the points you choose;
- record what the company knows, so the next piece of work can build on it;
- see in a work log what happened and what it cost.
There is no limit on users. You pay for the work the agent does, not for who gets to watch.
What it is not: Auttendo does not replace an accountant, a lawyer or a doctor. Its output supports your decision, it is not advice to follow blindly.
4. Your data stays yours
Customer data remains the customer’s property. You grant us a limited right to process, store and display it as far as providing the service requires.
You warrant that you may put that data in the workspace and have us process it. Where it contains personal data about your customers or staff, you are the controller and we are the processor. The data processing agreement forms part of this contract; how we handle data is set out in the privacy policy.
5. Connections to other tools
You connect the tools the agent may use yourself, under that provider’s own terms. We have no control over those tools.
- If a provider changes its connection or switches it off, a piece of work can stall. That is not a failure on our side, but we fix what there is to fix.
- A connection only opens what you approved when you connected it, and you can revoke it at any time.
- Whatever the tool charges you in fees or licences stays between you and that tool.
6. The agent, and who answers for what it does
The agent acts on your instruction, within the rights you give it. You decide what it may do on its own and what goes past a person first.
- Work the agent does with your approval is your act. A quote that goes out is your quote.
- An agent can get things wrong, and a model can state something confidently that is not true. Build in approval for work with consequences: invoices, quotes, contracts, and anything that goes outside.
- Do not use the agent for decisions with legal effect for a person without a human genuinely reviewing them.
- If the result is off, tell it again. The work log shows what happened.
7. Price, credits and payment
The prices on the pricing page govern. All amounts exclude VAT.
- The subscription is €37.50 per month and includes 10,000 credits: 7,500 purchased and 2,500 we add on top.
- A credit is half a cent. Each instruction costs credits in line with the work in it: the model’s thinking, the calls to your tools and the processing time. Nothing is marked up on top.
- The monthly bundle refills at the start of each billing month. What you do not use expires and does not roll over.
- Once the bundle runs out, work continues at the same half cent per credit. We invoice that overage afterwards.
- You can set a ceiling, for the company and per user. At that ceiling the agent stops. We let you know before you get close.
- Estimates of what a job costs are guidance, not a commitment. What an instruction actually cost is shown per job in the app.
We invoice monthly in advance, and overage afterwards. If a payment is more than fourteen days late we may, after a reminder, suspend the service until it is paid. We do not delete your workspace during such a suspension.
We may change the price with at least thirty days’ notice. Continuing to use the service afterwards counts as acceptance. If you disagree, you can cancel as described in clause 12.
8. What you may not do
- Use the service for anything unlawful.
- Try to reach another customer’s data.
- Reverse-engineer the service, or get around limits and security measures.
- Disrupt how the service runs, for instance with traffic that does not belong there.
- Resell or repackage the service without a written agreement.
- Process content that is unlawful, or that you know you are not allowed to hold.
If you break this, we may suspend the account. For something serious we do that immediately, otherwise we warn you first.
9. Availability and help
We aim for high availability, but we do not promise uninterrupted access. Maintenance, security updates and outages at connected services can affect the workspace for a while. We announce planned maintenance.
You can reach us at hi@auttendo.com. Help setting things up is included in the subscription.
10. Confidentiality
What we learn about each other by working together, we keep to ourselves. We use customer data only to provide the service and do not pass it to third parties, other than the processors listed in the privacy policy or where the law requires it.
11. Liability
The service is provided as it is. As far as the law allows, we exclude implied warranties, including fitness for a particular purpose.
Our liability for any claim connected to the service is limited to what you paid us in the three months before the event that caused it. We are not liable for indirect loss, including lost revenue, lost data or business interruption. What Dutch law does not allow us to exclude, we do not exclude: intent and deliberate recklessness on our side are not covered by this limit.
12. Cancelling, and taking your data with you
The subscription runs by the month. You can cancel any month; cancellation takes effect at the end of the current billing period. There is no refund over the current month.
Afterwards you have thirty days to export your data. Then we delete the workspace, in line with the retention periods in the privacy policy.
We may suspend or end the contract if you materially breach these terms, if a payment is far behind, or if carrying on becomes a legal or security risk. If we discontinue the service itself, we will give you plenty of notice.
13. Intellectual property
All rights in Auttendo stay with us: the brand, the software, this site and everything we build to deliver the service.
Everything you put in and everything the work produces stays yours. If you send us a suggestion, we may use it to improve the service, with nothing owed in return.
14. Governing law
Dutch law applies to these terms. Disputes go to the competent court of the Overijssel district court, unless the law mandates a different court.
15. Changes to these terms
We may update these terms. For a material change we give at least thirty days’ notice, by email or with a notice in the app. Continuing to use the service afterwards counts as acceptance.
16. If a clause does not hold
If a clause turns out to be unenforceable, the rest stays in force and we replace that clause with the nearest one that works.
